This document must be reviewed by a lawyer before publication. Items in brackets must be completed.
1. Scope
These terms of sale (the "Terms of Sale") govern paid subscriptions to QRTada, the dynamic QR code generator available at qrtada.com (the "Service"), published by [TO COMPLETE: first and last name], EI, a French sole trader, [TO COMPLETE: address], France, SIRET [TO COMPLETE: SIRET] ("QRTada", "we").
They apply to anyone who starts a trial or subscribes (the "Customer", "you"), whether acting as a consumer (for personal purposes) or as a business. When a rule only applies to one category, it says so.
Use of the Service is also governed by the terms of use and the acceptable use policy. If they conflict, these Terms of Sale prevail for anything related to the sale. Business plan customers can enter into our data processing agreement.
You accept these Terms of Sale by ticking the box at sign-up and before payment. The applicable version is the one in force on the date you subscribe; it is archived and available on request.
2. Plans
QRTada offers three paid plans, Starter, Pro and Business, described on the pricing page: number of active dynamic codes, hosted page storage, analytics, export formats, custom domains, users, API access and other features.
Static codes are unlimited on every plan. Scans are unlimited, subject to fair use: above 1,000,000 scans per month on one account, we will contact you to agree on a solution. Codes are never cut off automatically.
What you subscribed to does not change. The features and limits of your plan on the day you subscribe are recorded in your subscription. Later changes to our catalog (features added or removed, limits or prices changed, plans retired) do not apply to existing subscriptions, renewals included, unless you change plan yourself or we offer you something more favorable.
3. Prices
Prices are shown on the pricing page in euros (€) or US dollars ($), billed monthly or annually in advance. For reference, as of this version:

Business plan: additional seats beyond 10 users at $5 / 5 € per seat per month.
Taxes: while QRTada benefits from the French VAT exemption scheme, no VAT is charged (article 293 B of the French General Tax Code) and displayed prices are final. No US sales tax is currently collected. If QRTada becomes required to charge VAT or sales tax, you will be notified at least 30 days in advance; for an ongoing subscription, the price paid by a consumer will not increase without their consent and they may cancel free of charge.
Currency: the currency is suggested based on your location and can be changed before you subscribe. Once your first subscription starts, your account currency can no longer be changed.
Price changes: we may change prices for new subscriptions at any time. For an existing subscription, a price increase only applies from the next renewal, after at least 30 days' notice by email, and you may cancel before it takes effect.
4. 7-day free trial
The trial lets you use the Service for 7 calendar days for $0 / 0 €, with a payment method required.
- Trial plan: the plan you choose (Pro selected by default), monthly or annual.
- Trial limits: 3 dynamic codes, 20 MB of storage, 1 user; all other features of the chosen plan are available. On the Business plan, the API is limited to 100 requests per day.
- Clear disclosure: the amount and date of the first charge are shown before you enter your payment details.
- Reminder: we send an email and an in-app notification 2 days before the trial ends, with the amount, the date and a cancellation link.
- Cancellation: at any time during the trial, in two clicks from your account, with no call or form. You keep access until the end of the 7 days and are not charged.
- If you do not cancel: your subscription starts automatically and the first payment is charged at the end of day 7.
- One trial per customer: one trial per payment method, email address and device. We may refuse a trial in case of obvious abuse.
- Trial not converted: codes created during the trial display an interstitial page (section 10) and the account remains available read-only.
5. Subscribing
You subscribe online: create an account, choose a plan and billing period, provide billing details (country, business or personal use, company name and registration number where applicable), accept these Terms of Sale, then pay on the secure page of our payment provider Stripe. The contract is formed when this step is completed. A confirmation email summarizes the plan, price, billing period and date of the first charge, and includes these Terms of Sale.
6. Payment
Accepted methods: credit or debit card (Visa, Mastercard, American Express), Apple Pay, Google Pay; SEPA Direct Debit for annual plans in the European Union; bank transfer for the annual Business plan, on request. Payments are processed by Stripe; QRTada never has access to full card numbers.
Subscriptions are charged in advance and renew automatically at the start of each monthly or annual period, on the anniversary date of your subscription, until you cancel.
Failed payments
If a payment fails, it is retried automatically for 14 days and you are notified by email on the day of the failure, then after 3, 7 and 13 days. During this period your existing codes keep working; only the creation of new codes is paused. If payment is not settled by day 14, the subscription ends and your codes become frozen (section 10). A failed payment at the end of the trial is retried 3 times over 7 days, during which codes display the interstitial page.
Business customers: late payments bear late-payment interest at three times the French legal interest rate and a fixed recovery fee of 40 € (article L441-10 of the French Commercial Code).
7. Invoices
An invoice is issued for every payment, with continuous sequential numbering and the legally required information. It is emailed to you and available in your account. It reflects the billing details known on the date it is issued.
Invoices for French businesses will be issued electronically through an approved platform once the French e-invoicing obligation applies to QRTada; other sales will be reported as required by law.
8. Term, renewal and plan changes
Your subscription runs for one month or one year depending on the billing period chosen and renews automatically for the same period until cancelled.
Annual plans: we email you 45 days before renewal to remind you of the upcoming charge and how to cancel.

A plan change you request applies the features and limits of the new plan as listed in our catalog on the day of the change.
9. Pause, cancellation and deletion
Pause: once every 12 months, you can pause your subscription for 1 to 3 months, including from the cancellation flow. During the pause, nothing is charged and your codes keep redirecting but can no longer be edited.
Cancellation: cancel online at any time from your account, with no reason required and no fee. Cancellation takes effect at the end of the period already paid; no refund is given, prorated or otherwise, except for consumers exercising the withdrawal right (section 11). The cancellation flow may offer an alternative (pause, lower plan, temporary discount); you remain free to confirm, and it never takes more than two screens. A confirmation email states the effective date.
Termination by QRTada: in case of a serious breach of the terms of use or acceptable use policy, we may terminate the subscription after 8 days' written notice without remedy, or immediately for clearly illegal or dangerous content.
Account deletion: separate from cancellation and described in the terms of use. It permanently stops your codes.
10. Lifetime guarantee for QR codes
The lifetime guarantee is a contractual commitment.
- Every dynamic code created or edited during a paid period keeps redirecting to its latest destination, with no interstitial page and no time limit, including after cancellation, after a subscription ends for non-payment, and during a pause ("frozen" mode).
- After cancellation: the code can no longer be edited, analytics can no longer be viewed (they keep being aggregated for 12 months in case you reactivate) and no new codes can be created.
- Linked hosted pages (menu, link page, business card, PDF) stay online read-only and their files are kept.
- Exceptions: the guarantee does not apply if the destination or content becomes malicious or illegal, if you request deletion of your account, following a court or authority decision, or in case of a breach of the terms of use or acceptable use policy. It does not cover codes using a custom domain whose DNS no longer points to QRTada, as that configuration is your responsibility.
- Codes created only during a trial that was not converted are not covered. They show an interstitial page stating that the code was made with QRTada, with a button that takes the visitor to the destination in one click. A trial code with no scans for 24 months is deleted, after a notice email sent 30 days before.
- Continuity: if QRTada ceases operations, customers will be notified at least 6 months in advance and can export all their destinations (CSV). We will make reasonable efforts to transfer redirects to a successor.
11. Withdrawal right and no refunds
Withdrawal right for EU consumers
Consumers in the European Union have 14 days from the conclusion of the contract (start of the trial or subscription) to withdraw (articles L221-18 et seq. of the French Consumer Code). This right does not apply to business customers.
- You can use the online withdrawal function, available throughout that period at [TO COMPLETE: location of the function, for example "Withdraw from contract" link in the footer]; a time-stamped acknowledgment is emailed immediately. You can also use the model form below or any unambiguous statement sent to [TO COMPLETE: support email] or [TO COMPLETE: postal address].
- When subscribing, you are asked to expressly request that the Service start before the end of the withdrawal period (dedicated checkbox). In that case, if you withdraw, you owe an amount proportionate to the service provided until you notified your withdrawal (article L221-25). We refund the sums paid minus that amount within 14 days of receiving your withdrawal, to the original payment method.
- Withdrawing during the free trial involves no payment.
- Withdrawal ends the subscription; codes you created then follow section 10.
No other refunds
Apart from a consumer exercising the withdrawal right, no refunds are given, including prorated refunds on cancellation, downgrade or non-use of the Service, without prejudice to rights consumers have under mandatory law (such as the legal guarantee of conformity).

12. Our obligations and liability
We use reasonable efforts to keep the Service available and secure. Availability targets (99.95% for redirects, 99.5% for the application) are quality objectives, not guaranteed results, unless agreed otherwise in a specific agreement. Maintenance may cause interruptions, preferably outside peak hours.
Business customers: our liability is limited to direct and foreseeable damages and capped at the amount you paid in the 12 months preceding the event giving rise to the claim. We are not liable for indirect losses (lost revenue, customers, data or goodwill), nor for incorrect printing, destinations you choose or custom domain DNS settings.
To the extent permitted by applicable law, and except as expressly stated in these Terms of Sale, the Service is provided without any other warranty, express or implied.
Consumers: nothing in these Terms of Sale limits the rights you have under mandatory consumer protection law, including, for EU consumers, the legal guarantee of conformity for digital content and services.
We are not liable for failure to perform caused by force majeure.
13. Your obligations
Provide accurate information, keep your credentials secure, check that your QR codes scan correctly before printing (an automatic decoding test is provided, but does not replace a test on the final medium), and comply with the terms of use and acceptable use policy.
14. Personal data
Our processing is described in the privacy policy. For data about your own users or visitors processed through the Service, Business plan customers can enter into the data processing agreement.
15. Changes to these Terms of Sale
We may change these Terms of Sale. Changes are notified by email at least 30 days before they take effect for existing subscriptions; if you do not accept them, you may cancel free of charge before that date. Changes required by law apply as soon as they take effect.
16. Complaints and mediation
Send any complaint to [TO COMPLETE: support email]; we reply within the timeframe stated for your plan.
EU consumers: if a dispute cannot be resolved, you may refer it free of charge to our consumer mediator: [TO COMPLETE: name, address and website of the mediator], within one year of your written complaint.
17. Governing law and jurisdiction
These Terms of Sale are governed by French law.
- Consumers: you keep the benefit of the mandatory provisions of the law of your country or state of residence, and may bring proceedings before the courts of your place of residence where that law allows it.
- Business customers: failing an amicable settlement, any dispute falls under the exclusive jurisdiction of the courts of [TO COMPLETE: city of competent court], France.
The French version of these Terms of Sale is provided for French-speaking customers; each language version is authoritative for customers who subscribed in that language.
